Terms of Service

1. Acceptance of Terms

By signing up for, accessing, or using any part of the Suko service ("Service"), you ("Client" or "you") agree to be bound by these Terms of Service ("Terms"). Please read them carefully before proceeding.

If you do not agree to these Terms, do not use the Service. By booking a call, signing a proposal, or paying an invoice from Suko, you confirm that you have read, understood, and accepted these Terms.

These Terms constitute the entire agreement between you and Suko (getsuko.com, operated by its founders) regarding your use of the Service, superseding any prior agreements or representations.

2. Description of Service

Suko provides independent restaurants with a managed digital presence package, including:

  • Design, development, and hosting of a restaurant website
  • An AI-powered chat assistant embedded on the website, trained on the restaurant's content
  • A reservation management system
  • An owner dashboard for managing menu content, reservations, and appearance settings
  • Ongoing support as defined by the selected plan

The Service is offered as a monthly subscription. Suko retains the right to update, modify, or improve the Service at any time. We will communicate significant changes in advance.

3. Plans & What's Included

Suko offers three subscription tiers. The specific features of each plan are detailed on our Pricing page at getsuko.com/pricing. A summary is provided below:

Starter — $349/month

  • Professional restaurant landing page
  • 1 round of design revisions
  • AI chat assistant (up to 500 messages/month)
  • Website hosting included
  • 1 website content change per month
  • Email support with 48-hour response time

Pro — $599/month

  • Premium restaurant landing page
  • 3 rounds of design revisions
  • AI chat assistant (up to 2,000 messages/month)
  • Reservation system with one-click confirmation
  • Google Business Profile setup
  • 2 website content changes per month
  • WhatsApp support with 24-hour response time

Premium — $999/month

  • Fully custom restaurant landing page
  • Unlimited design revisions
  • AI chat assistant (up to 8,000 messages/month)
  • All features from Pro
  • Custom chat widget styles
  • Unlimited website content changes
  • Priority support with same-day response
  • Custom widget development on request

Domain registration is not included in any plan. You are responsible for purchasing your own domain name. Suko will handle all domain configuration and setup at no additional cost.

AI message limits are calculated on a monthly calendar basis. Unused messages do not roll over. If your restaurant consistently exceeds the message limit of your plan, we will contact you to discuss an upgrade or Enterprise pricing.

4. Payment Terms

Setup fee

A one-time setup fee applies to all new clients. The exact amount depends on the complexity of your project and will be agreed upon in writing before any work begins. No setup fee will be charged without your explicit approval.

Monthly subscription

  • Subscriptions are billed monthly in advance on the same date each month.
  • Payment is due within 7 days of the invoice date.
  • All prices are in USD and exclusive of any applicable taxes.
  • Payments are processed securely via Stripe. Suko never stores your card details.

Late payment

If payment is not received within 14 days of the due date, Suko reserves the right to suspend the Service until the outstanding balance is settled. Suspension does not waive the obligation to pay.

Price changes

Suko may adjust subscription pricing with 30 days written notice. Price changes will not take effect mid-billing-cycle. Your continued use of the Service after the notice period constitutes acceptance of the new pricing.

5. Cancellation Policy

Either party may cancel the subscription at any time by providing 30 days written notice by email to hello@getsuko.com.

  • Cancellation takes effect at the end of the notice period, not immediately.
  • You will continue to have access to the Service during the 30-day notice period.
  • Monthly subscription fees during the notice period are non-refundable.
  • The setup fee is non-refundable once work has commenced.
  • After cancellation, your website will be taken offline and your data will be deleted within 90 days, unless you request earlier deletion.

There are no long-term contracts or lock-in periods. You are free to cancel at any time with 30 days notice.

6. No Performance Guarantees

Suko provides tools and services to improve your restaurant's online presence. However, we make no guarantees regarding:

  • Increased reservations, bookings, or revenue
  • Specific search engine rankings or visibility
  • A specific number of website visitors or chat interactions
  • Business growth or profitability
  • Uninterrupted or error-free operation of the AI assistant at all times

The AI chat assistant is powered by third-party AI technology (Anthropic's Claude). While we configure and train it to represent your restaurant accurately, AI responses may occasionally be imperfect. We recommend that you review the assistant's knowledge base regularly and report any inaccuracies to us for correction.

We commit to a best-effort uptime of 99% for your restaurant website and chat widget, but do not offer a formal Service Level Agreement (SLA) unless separately agreed in writing.

7. Acceptable Use

You agree not to use the Service to:

  • Publish false, misleading, or fraudulent content about your restaurant
  • Violate any applicable local, national, or international law or regulation
  • Infringe the intellectual property rights of any third party
  • Collect or misuse guest data beyond what is necessary for reservations
  • Attempt to reverse-engineer, hack, or circumvent any part of the Service
  • Use the AI assistant to generate content that is harmful, discriminatory, or deceptive
  • Resell or sublicense access to the Service without written permission

Suko reserves the right to suspend or terminate your account immediately if you are found to be in violation of these acceptable use terms, without refund of any fees paid.

8. Intellectual Property

Your content

You retain full ownership of all content you provide to Suko, including your restaurant name, logo, menu, photos, and brand assets. By providing this content, you grant Suko a limited licence to use it solely for the purpose of delivering the Service to you.

Suko's work product

The website and design created by Suko for your restaurant is yours upon full payment of the setup fee and while your subscription remains active. If your subscription is cancelled, Suko retains the right to deactivate and remove the website. Custom code and designs do not transfer unless separately agreed in writing.

Suko platform

The Suko platform, dashboard, AI infrastructure, and all related technology remain the exclusive intellectual property of Suko. Nothing in these Terms grants you any rights to our underlying technology, brand, or software.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Suko shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of revenue, profit, or business opportunity
  • Loss of data or content
  • Damage to reputation or goodwill
  • Service downtime or unavailability
  • Actions or inactions of third-party services (Anthropic, Stripe, Supabase, etc.)

In any case, Suko's total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you to Suko in the three months preceding the claim.

Some jurisdictions do not allow limitation of liability for certain types of damages. In such cases, our liability is limited to the fullest extent permitted by law.

10. Termination

Suko may terminate or suspend your access to the Service immediately, without prior notice, if:

  • You materially breach these Terms and fail to remedy the breach within 7 days of written notice
  • You engage in illegal activity through or in connection with the Service
  • You fail to make payment within 14 days of a due date
  • Continuing the Service would expose Suko to legal risk or reputational harm

Upon termination for cause, no refunds will be issued for the current billing period. You remain liable for any outstanding amounts owed.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions.

For clients located in the European Union, mandatory consumer protection laws of your country of residence may also apply and are not overridden by these Terms.

Any disputes arising from these Terms that cannot be resolved amicably shall be submitted to binding arbitration before being escalated to formal legal proceedings. We will always try to resolve disputes directly first — email us at hello@getsuko.com.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our service, pricing, or applicable law. When we make material changes, we will notify active clients by email at least 14 days in advance.

The updated Terms will be posted at getsuko.com/terms-of-service with a new "Last updated" date. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

If you disagree with changes to the Terms, you may cancel your subscription with 30 days notice as outlined in Section 5.
